What is Breach of Contract?

A breach of contract refers to the failure of a party to fulfill their obligations as stated in a contractual agreement. It occurs when one party does not perform as promised. This can be either by failing to deliver goods or services or not meeting deadlines. Breach of contract can have legal consequences. The affected party may seek remedies such as damages or specific performance through a court of law. Section 73-75 under the Indian Contract Act 1872 outlines the consequences of a breach of contract.

Types of Breach of Contract

A breach of contract occurs when one party fails to fulfill their obligations as specified in the contract. There are two main types of breaches of contract:

Actual Breach: This type of breach occurs when one party completely fails to perform their obligations under the contract. For example, if a party fails to deliver goods or provide services as promised in the contract.

Anticipatory Breach: Anticipatory breach happens when one party indicates, either through words or actions, that they will not be able to fulfill their obligations in the future. It occurs before the scheduled performance date. For instance, if a contractor informs the client in advance that they will not be able to complete the project as agreed.

  • Loss of Expected Benefits: The non-breaching party may lose the benefits they anticipated from the contract.
  • Additional Expenses: The non-breaching party may incur additional expenses trying to mitigate the effects of the breach.
  • Uncertainty and Stress: The breach can cause uncertainty, stress, and emotional distress for the non-breaching party.

Remedies of Breach of Contract

Remedies are legal means of compensating the non-breaching party for the harm caused by the breach. The following are some of the common remedies for breach of contract:

  • Damages: Damages are monetary compensation awarded to the non-breaching party. This is to compensate them for the losses they have suffered as a result of the breach. Damages can be compensatory, special, or exemplary.
    • Compensatory damages place the non-breaching party in the same position they would have been in if the contract had not been breached.
    • Special damages compensate the non-breaching party for specific losses they have suffered as a result of the breach.
    • Exemplary damages punish the breaching party for egregious behavior and deter future breaches.
  • Specific performance: Specific performance is a remedy that orders the breaching party to perform the contract as originally agreed upon. This remedy is only available if the non-breaching party can show that monetary damages are not an adequate remedy.
  • Rescission: Rescission is a remedy that cancels the contract. It then allows the parties to return to their original positions before the contract is formed. Rescission is typically granted when the breach is material.
  • Restitution: Restitution is a remedy that requires the breaching party to return any property or money that they received as a result of the contract.

Assessing damages for a breach can be complex. Key factors include:
